About these Terms
Adexium Ads LLC, a Wyoming limited liability company with its address at 30 N Gould St Ste R, Sheridan, WY 82801, United States ("Adexium Ads", "We", "Us", "Our"), operates a self-serve advertising network for web traffic (in-page push, web push, popunder) and Telegram traffic (Telegram Mini Apps, Telegram bot messages), together with related dashboards, APIs and reporting tools (the "Services").
These Terms of Service are a binding agreement between Adexium Ads LLC and you, the business or person buying advertising through the Services (the "Advertiser" or "you"). By ticking the acceptance checkbox during registration, topping up the Personal Account or otherwise using the Services, you accept these Terms. If you do not agree to them, you must not use the Services.
We may amend these Terms. Amendments are published on the Official Website; material changes are also sent to the email registered in your Account at least 14 days before they take effect. Continuing to use the Services after an amendment takes effect constitutes acceptance of the amended Terms.
1. Terms and definitions
- Account — your personal access to the advertiser dashboard, used to manage campaigns, view the balance and reports, and perform other actions related to the Services.
- Advertisement — graphic, text or interactive ad creatives (banners, push notifications, in-app placements, sponsored messages, etc.) submitted by the Advertiser through the campaign creation flow, together with the landing page they lead to.
- Advertising Policy — the document listing allowed and prohibited advertising categories and describing campaign review, published at adexiumads.com/legal/advertising-policy; an integral part of these Terms.
- Campaign Settings — the campaign configuration completed by the Advertiser in the dashboard (targeting, schedule, bid, budget, creatives, etc.).
- Online Resources — websites, web pages, mobile apps, Telegram Mini Apps and Telegram bots owned by Publishers.
- Official Website — https://adexiumads.com.
- Personal Account — the Advertiser's prepaid balance in Our billing system, where all top-ups and charges are recorded. The Personal Account is not a bank account and does not bear interest.
- Publisher — a third party that shows Advertisements on its Online Resources through the Services.
- Reporting System — Our automated system that records impressions and clicks delivered and the amounts charged for them; its data is shown in the reports of the Account.
- Services — placement of the Advertiser's Advertisements on Publishers' Online Resources according to the Campaign Settings, plus the related dashboard, APIs, reporting and support.
2. Service
2.1. We provide the Services online on an "as is" and "as available" basis for the term of this agreement.
2.2. The Services are intended for businesses. You must be at least 18 years old and, if you act for a company, authorized to bind it.
2.3. The Services are provided as software as a service. You do not acquire any ownership or intellectual-property rights in Our software.
2.4. No partnership. Nothing in these Terms creates any agency, partnership, joint venture, fiduciary or employment relationship between Us and the Advertiser.
2.5. Third parties. We do not control and are not responsible for the content, products or services of Publishers or other third parties.
3. Payment terms
3.1. Prepayment. The Services are prepaid. The Advertiser adds funds to the Personal Account and campaigns run while the balance is positive. The minimum top-up is USD 100. All payments are made in US dollars; currency conversion is the Advertiser's responsibility.
3.2. Charges. The Personal Account is charged for impressions (CPM campaigns) and clicks (CPC campaigns) actually delivered, at a price not exceeding the bid set in the Campaign Settings. There is no subscription and no recurring charge. An estimated cost may be shown before launch; the final amount depends on auction results and actual delivery.
3.3. Payment methods. The Personal Account can be topped up by the Advertiser by credit or debit card or by bank transfer, as offered in the Account. Fees charged by the Advertiser's own bank are borne by the Advertiser. The Advertiser must keep Account credentials confidential.
3.4. Reports. The volume of impressions and clicks delivered and the amounts charged are determined by the Reporting System and shown in the Account in real time. If the Advertiser believes a charge is wrong, the Advertiser may dispute it under clause 3.6.
3.5. No guarantee of results. We do not guarantee any specific number of impressions, clicks, conversions, sales or any other campaign result.
3.6. Charge errors and invalid traffic. If the Advertiser detects a charge for invalid traffic (for example, an abnormal number of clicks from the same IP address within one day) or for delivery outside the Campaign Settings caused by a software error, the Advertiser may request a correction within 30 days of the charge by writing to support@adexiumads.com. We review the request using Our records and third-party verification and reply within 10 business days. Confirmed amounts are credited back to the Personal Account or, if the Advertiser prefers, refunded under clause 3.7.
3.7. Refunds. Unspent balance in the Personal Account is refunded on request to the original payment method, less fees actually charged by the payment processor for the refund, as described in the Refund & Cancellation Policy. The only exception is an account terminated for fraud or for a material breach of these Terms or the Advertising Policy (clause 12.2); in that case the balance is first applied to amounts owed to Us and to third parties as a result of the breach.
3.8. Overdue amounts. If delivery that already took place exceeds the available balance (for example, because of reporting delays), the Advertiser shall pay the difference within 3 business days of Our notice.
3.9. Payment disputes. If you have a question about a charge, please contact support@adexiumads.com first — most issues are resolved faster directly with Us than through a card dispute. If a chargeback or payment dispute is opened, We may suspend the related campaigns while it is pending and will provide Our records of the delivered Services to the payment processor. Amounts of a dispute decided in Our favour remain payable.
4. Quality of the Services. Warranty disclaimer
4.1. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the Services will be uninterrupted or error-free.
4.2. We use commercially reasonable efforts to keep the Services available 24/7 and, where possible, give advance notice of planned maintenance.
4.3. Technical support is available at support@adexiumads.com. Instructions sent from the email registered in the Account are deemed to be sent by the Advertiser.
4.4. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
4.5. Third-party services. The Services rely on third-party services (hosting providers, verification vendors, payment processors, Telegram, etc.). We are not liable for their acts, omissions or failures.
5. Data privacy and confidentiality
5.1. The Privacy Policy is an integral part of these Terms.
5.2. Non-public information about the Services and communications between the parties is confidential. The Advertiser shall not disclose it except as required to use the Services.
5.3. The Advertiser is responsible for compliance with applicable data-protection laws (including GDPR, ePrivacy and CCPA/CPRA) for any data collected through its Advertisements, landing pages, pixels or tracking, including notices and consents to end-users.
6. Children
The Advertiser shall not use the Services to target children under 16 years of age and shall not collect data from children through its Advertisements or landing pages.
7. Account
7.1. Requests regarding the Services are made through the Account or by email from the address registered in the Account.
7.2. The Advertiser keeps Account credentials confidential. Actions performed through the Account are deemed to be performed by the Advertiser. If you suspect unauthorized access, notify support@adexiumads.com immediately.
8. Limitation of liability
8.1. To the maximum extent permitted by law, neither We nor Our affiliates, officers, employees or contractors shall be liable for:
- any loss exceeding the twofold amount of the latest payment made by the Advertiser to Us during the 30 days preceding the event giving rise to liability, and in any case capped at USD 1,000 in aggregate, whichever is lower;
- any special, incidental, indirect, punitive or consequential loss, including loss of profits, revenue, business, goodwill or data;
- any loss arising from acts or omissions of Publishers, payment processors, hosting providers, Telegram or other third parties;
- any loss arising from rejection or suspension of Advertisements under the Advertising Policy;
- any loss arising from force majeure (clause 10) or from Internet outages outside Our reasonable control.
This limitation does not affect the Advertiser's right to a refund of unspent balance under clause 3.7.
8.2. Where applicable mandatory law sets a minimum liability higher than the limit in clause 8.1, that minimum prevails to the extent required by such law.
9. Advertiser obligations
9.1. The Advertiser is responsible for:
- compliance with these Terms, the Privacy Policy and the Advertising Policy;
- timely payment;
- the legality of its Advertisements, products and landing pages under all applicable laws (advertising, consumer protection, intellectual property, data protection, sanctions, export control, etc.) in every country where the campaign runs;
- holding all licenses and permits required for the products it advertises.
9.2. Prohibited content. Advertisements, landing pages, redirects and post-click flows must comply with the Advertising Policy. Categories listed there as prohibited are not accepted in any form. We review every campaign before it runs and may reject, pause or remove any Advertisement or account that violates the Advertising Policy or the law.
9.3. Advertisements and landing pages shall be free from malware, spyware, cryptocurrency-mining scripts, forced redirects, cloaking and any other malicious code.
9.4. Indemnification. The Advertiser will defend, indemnify and hold Us and Our affiliates, officers, employees and agents harmless from claims, damages, losses and expenses (including reasonable attorneys' fees) arising from (a) the content of its Advertisements, products or landing pages; (b) its breach of these Terms, the Advertising Policy or applicable law; (c) any claim by an end-user, regulator or third party concerning its campaigns or data practices.
10. Force majeure
10.1. Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disasters, epidemics, war, terrorism, sanctions, governmental actions, large-scale Internet outages and attacks on infrastructure.
10.2. The affected party shall inform the other party in writing within 5 days. Deadlines are extended for the duration of the event.
11. Governing law and disputes
11.1. These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply.
11.2. The parties shall first try to resolve any dispute through good-faith negotiation by writing to support@adexiumads.com. Any dispute that is not resolved within 30 days shall be submitted to the exclusive jurisdiction of the state courts located in the State of Wyoming.
11.3. Class-action waiver. To the extent permitted by law, the Advertiser brings claims against Us only in its individual capacity and not as a member of any class or representative action.
12. Suspension and termination
12.1. By the Advertiser. The Advertiser may stop using the Services at any time by pausing its campaigns and may close the Account by writing to support@adexiumads.com. The unspent balance is refunded under clause 3.7 and the Refund & Cancellation Policy.
12.2. By Us for cause. We may suspend the Account or terminate these Terms with notice where:
- the Advertiser breached these Terms, the Privacy Policy or the Advertising Policy;
- fraud, invalid traffic generated by the Advertiser, money laundering, sanctions violations or other illegal activity is detected or reasonably suspected;
- the Advertiser provided false information at registration.
Suspension takes effect immediately. If the Account is terminated for fraud or a material breach of these Terms or the Advertising Policy, the unspent balance is applied to amounts owed as a result; any remainder is refunded unless the law or a competent authority requires Us to hold it.
12.3. By Us without cause. We may terminate these Terms by giving 30 days' notice to the email registered in the Account. The unspent balance is refunded in full under clause 3.7.
12.4. Survival. Clauses 3.7, 3.8, 5, 8, 9.4, 11 and this 12.4 survive termination.
13. Miscellaneous
13.1. Entire agreement. These Terms, together with the Privacy Policy, the Refund & Cancellation Policy and the Advertising Policy, are the entire agreement between the parties.
13.2. Severability. If any provision is held unenforceable, the remaining provisions remain in force.
13.3. No waiver. Our failure to enforce a provision is not a waiver of it.
13.4. Assignment. The Advertiser may not assign these Terms without Our prior written consent. We may assign them to an affiliate or successor with notice to the Advertiser.
13.5. Notices. Notices to Us are sent to support@adexiumads.com or by mail to Adexium Ads LLC, 30 N Gould St Ste R, Sheridan, WY 82801, United States. Notices to the Advertiser are sent to the email registered in the Account.
